Terms of Service

Last updated 2026-09-12 · Terms · Privacy · Risk

Operator. Mintspell (“the Service”, “we”) is operated by Lihaila LLC, a United States limited liability company. Questions: hello@mintspell.fun.

1. What the Service is

Mintspell is a non-custodial software interface for creating and trading tokens on the Solana blockchain through Meteora's Dynamic Bonding Curve program and, after graduation, Meteora DAMM v2 pools. An AI assistant helps you name, illustrate and configure a token. We never hold your private keys or your funds. Every transaction is built for you, shown to you, and signed only by your own wallet.

2. Eligibility

You must be at least 18 and legally able to use the Service where you live. You may not use the Service if you are located in, or are a resident or national of, a country or region subject to comprehensive United States sanctions, or if you are on any sanctions list. By signing in with your wallet you confirm this.

3. Tokens are not investments

Tokens created on the Service (“coins”) are cultural and entertainment assets with no intrinsic value, no issuer promise, no dividend, no team obligation and no expectation of profit from our efforts. They can and often do go to zero. Nothing on the Service is investment, legal, tax or financial advice. The AI assistant is prohibited from predicting prices or recommending purchases; if it ever appears to, that output is an error and not advice.

4. Fees

Fees are disclosed before you sign: a launch fee, the metered AI cost of your chat, a trade fee on the curve and in graduated pools, and Solana network fees. The trade fee split is published on every token page. Fees paid are final. Prepaid chat credit is non-refundable but is applied to your launch fee.

5. Protections are mechanical, not guarantees

Coins launched here ship with on-chain settings we call wards: permanently locked liquidity at graduation, a vested creator allocation, no mint or freeze authority, an anti-sniper fee window, a capped creator first buy and a frozen metadata window. These reduce specific rug-pull mechanics. They do not prevent price collapse, coordinated selling, market manipulation by third parties, smart-contract risk in third-party programs, or loss of your wallet keys.

6. Your content

You are responsible for the names, tickers, images and text you launch. Do not launch tokens that impersonate people, brands or existing tokens, that infringe rights, that are illegal where you live, or that promote hate or harm. We may refuse a launch, hide a coin from our pages, or suspend your access. We cannot remove a coin from the blockchain.

7. AI assistant

The assistant is automated software. It can be wrong. Review every option, every fee and every transaction before you sign. Conversations are stored to run the Service and to charge for AI cost; see the Privacy Policy.

8. Third-party programs and services

Meteora's programs, Solana, RPC providers, wallets and AI model providers are not ours. Their availability, fees and behavior can change. Graduation, fee claims and treasury routing depend on them.

9. Coin treasuries

A share of each coin's trade fees is routed to that coin's treasury wallet, which is operated by the Service under a published policy. Treasury actions are disclosed on the token page. Treasury funds are not yours and are not redeemable.

10. Disclaimers and liability

The Service is provided “as is” without warranty of any kind. To the fullest extent permitted by law, Lihaila LLC is not liable for any loss of tokens, funds, profits or data, or for indirect or consequential damages. Our total liability for any claim is limited to the fees you paid to us in the twelve months before the claim.

11. Disputes

These Terms are governed by the laws of the State of Delaware, USA. Disputes are resolved by binding individual arbitration under the American Arbitration Association's rules, with no class actions, except that either party may seek injunctive relief in court. You may opt out of arbitration by emailing us within 30 days of first use.

12. Changes

We may update these Terms; the date above changes when we do. Continued use means acceptance.

This document is a draft prepared for review by counsel and may change before public launch.
